Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern access to and use of CareMinutes (the "Service"), operated by CareMinutes ("we", "us", "our"). By creating an account, logging in, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Description of the service
CareMinutes provides structured meeting-note templates, an AI transcript summarizer, a prompt library, and an action-item tracker for teams that run recurring meetings, including teams operating in healthcare settings. Plan tiers, usage limits, and feature availability are described on our Pricing page and may change with notice as described in Section 11.
3. Accounts and eligibility
You must provide accurate information when requesting access and are responsible for all activity that occurs under your account or organization's workspace. You must notify us promptly of any unauthorized use of your account. You must be at least 18 years old and legally able to enter into a binding contract to use the Service.
4. Subscriptions, billing, and cancellation
Paid plans are billed monthly or annually in advance, as selected at checkout. Subscriptions renew automatically until cancelled. Full billing terms, proration, and refund conditions are set out in our Refund & Cancellation Policy, which forms part of these Terms.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation, including healthcare data protection laws;
- Upload transcripts or content you do not have the right to share, or content containing protected health information ("PHI") unless your plan and a signed Business Associate Agreement (BAA) permit it;
- Attempt to reverse-engineer, probe, or disrupt the Service's infrastructure, or circumvent rate limits and access controls;
- Resell or provide the Service to third parties without our written consent, outside of your own organization's authorized users.
6. AI-generated content
The AI transcript summarizer produces automated drafts based on the transcript you provide. Outputs may contain errors, omissions, or inaccuracies and are provided as a drafting aid only. You are responsible for reviewing, correcting, and approving any AI-generated notes before relying on them for clinical, operational, or compliance purposes.
7. Protected health information and compliance
Free, Starter, and Team plans are not intended for PHI-covered recordings. If your organization needs to process PHI, you must be on a plan that includes a Business Associate Agreement and must execute that BAA with us before uploading PHI-covered content. Using the Service to process PHI without an executed BAA is a violation of these Terms.
8. Intellectual property
We own all rights in the Service, including its software, design, templates, and prompt library. You retain ownership of the meeting content, transcripts, and notes you upload or generate ("Your Content"). You grant us a limited license to process Your Content solely to provide and improve the Service, subject to our Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or complete.
10. Limitation of liability
To the fullest extent permitted by law, CareMinutes and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by posting an updated version on this page with a new "Last updated" date, and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Termination
You may cancel your subscription at any time from your account or by contacting us. We may suspend or terminate access to the Service for violations of these Terms, non- payment, or to protect the security or integrity of the Service.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Gujarat, India.
